1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and MARC GLOBAL TRADE LINK CO., LIMITED ("we", "us", or "our") regarding your use of the EC-Permit mobile application (the "Service").

By creating an account, accessing, or using EC-Permit, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users, including project administrators, team members, and collaborators.

2. Service Description

EC-Permit is a construction permit management platform designed for business and professional use. The Service provides:

Form and permit creation, submission, and management
Customizable form types with dynamic questions
Workflow automation with status-based transitions
Project-based collaboration and team management
Offline functionality with automatic synchronization
Push notifications for real-time updates
File storage for photos, PDFs, signatures, and documents
Map integration for location-based permits
Multi-language support (English, Traditional Chinese, Simplified Chinese)
Audit trails and form history tracking

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts and Registration

Account Creation:

To use EC-Permit, you must create an account by providing:

A valid email address
A secure password (minimum 8 characters with uppercase, lowercase, and numbers)
Your display name

Account Requirements:

You must be 18 years or older to create an account
You must provide accurate, current, and complete information
You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account

Account Security:

Notify us immediately of any unauthorized use of your account
Do not share your account credentials with others
Use strong passwords and enable biometric authentication when available
We are not liable for losses arising from unauthorized account access if you fail to maintain security

Account Termination:

We reserve the right to suspend or terminate your account at any time for:

Violation of these Terms
Fraudulent, abusive, or illegal activities
Extended periods of inactivity
Any reason at our sole discretion

4. User Obligations and Acceptable Use

You agree to:

Use the Service only for lawful purposes related to permit and project management
Provide accurate information in forms and account details
Respect the intellectual property rights of others
Maintain confidentiality of sensitive project information
Comply with all applicable laws and regulations

You agree NOT to:

Use the Service for any illegal or unauthorized purpose
Interfere with or disrupt the Service or servers
Attempt to gain unauthorized access to any part of the Service
Upload viruses, malware, or malicious code
Harvest or collect information about other users without consent
Impersonate any person or entity
Use the Service to transmit spam, chain letters, or unsolicited communications
Violate any local, national, or international laws
Reverse engineer, decompile, or disassemble the Service
Use automated systems (bots, scrapers) to access the Service
Remove or modify any copyright, trademark, or proprietary notices

Consequences of Violation:

Violation of these obligations may result in immediate account termination, legal action, and reporting to appropriate authorities.

5. Project Collaboration and Data Sharing

Project Membership:

Projects are collaborative workspaces where multiple users can access shared data
Project administrators control member access and permissions
By joining a project, you agree to share certain information with project members
You may be removed from projects at any time by project administrators

Data Visibility:

Forms, submissions, and related data are visible to project members based on permissions
Your display name, avatar, and position are visible to other project members
Comments, approvals, and form actions are visible to relevant project members

Responsibilities:

Project administrators are responsible for managing member access appropriately
Users must not share project data outside authorized project members
Users should report any unauthorized access or security concerns immediately

Project Deletion:

Project administrators may delete projects, resulting in data loss for all members
We recommend maintaining offline backups of critical data
We are not liable for data loss resulting from project deletion by administrators

6. Content Ownership and Licensing

Your Content:

You retain ownership of all content you submit, upload, or create through the Service, including:

Form responses and submissions
Photos, files, and documents
Signatures and annotations
Comments and notes

License to Us:

By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to:

Store, process, and display your content
Transmit your content to other authorized project members
Create backups and copies for service operation
Perform technical processing required for service functionality

This license exists only to operate and provide the Service and does not grant us rights to use your content for other purposes.

Our Intellectual Property:

The Service, including all software, design, text, graphics, logos, and other content (excluding user content), is owned by MARC GLOBAL TRADE LINK CO., LIMITED and protected by copyright, trademark, and other intellectual property laws.

You may not:

Copy, modify, or create derivative works of the Service
Use our trademarks, logos, or branding without permission
Remove or alter any proprietary notices

Third-Party Content:

The Service may include third-party libraries, frameworks, and open-source software. Use of such components is governed by their respective licenses.

7. Offline Functionality and Data Synchronization

Offline Mode:

EC-Permit provides offline functionality allowing you to:

View cached forms and data without internet connection
Create and edit forms offline
Queue submissions for automatic upload when online
Download maps for offline viewing

Synchronization:

Changes made offline are automatically synchronized when internet connection is restored
Sync conflicts may occur if multiple users edit the same data
We use best-effort conflict resolution, but data loss may occur

User Responsibilities:

You are responsible for maintaining adequate device storage for offline data
You should manually sync before relying on offline data in critical situations
You should verify successful upload of offline submissions
We are not liable for data loss or sync failures related to offline usage

Limitations:

Some features require internet connectivity and are unavailable offline
Offline maps must be downloaded in advance
Push notifications are not received while offline
Real-time collaboration requires internet connection

8. Service Availability and Modifications

No Guarantee of Availability:

We strive to provide reliable service but do not guarantee that:

The Service will be available at all times without interruption
The Service will be error-free or bug-free
Data will never be lost or corrupted
Defects will be corrected immediately

Maintenance and Updates:

We may perform scheduled or emergency maintenance requiring service interruption
We may update the Service with new features, bug fixes, or improvements
Some updates may require app store updates or device restarts
You are responsible for keeping your app updated

Service Modifications:

We reserve the right to:

Modify features, functionality, or user interface
Change pricing or subscription models (with advance notice)
Discontinue features or the entire Service
Impose usage limits or restrictions

No Warranty:

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or reliability of data

9. Limitation of Liability

Exclusion of Damages:

To the maximum extent permitted by Hong Kong law, MARC GLOBAL TRADE LINK CO., LIMITED shall not be liable for any:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Service interruptions or unavailability
Data loss, corruption, or unauthorized access
Errors or inaccuracies in content or data
Third-party actions or content
Loss resulting from offline sync conflicts or failures
Damages arising from reliance on the Service

Maximum Liability:

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or HK$1,000, whichever is greater.

Basis of the Bargain:

You acknowledge that these limitations of liability are fundamental elements of the agreement between you and us, and the Service would not be provided without such limitations.

Exceptions:

Nothing in these Terms excludes or limits liability for:

Death or personal injury caused by negligence
Fraud or fraudulent misrepresentation
Any liability that cannot be excluded by Hong Kong law

10. Indemnification

You agree to indemnify, defend, and hold harmless MARC GLOBAL TRADE LINK CO., LIMITED, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any third-party rights, including intellectual property or privacy rights
Your content or data submitted through the Service
Any fraudulent, unlawful, or negligent acts
Your violation of applicable laws or regulations

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

11. Termination

Termination by You:

You may stop using the Service and delete your account at any time by contacting us at info@ecpermit.com. Upon termination:

Your access to the Service will be revoked
Your data will be deleted according to our data retention policy (typically 30-90 days)
You remain liable for any obligations incurred before termination

Termination by Us:

We may suspend or terminate your access immediately, without notice, for:

Breach of these Terms
Illegal activities or violations of law
Abusive, fraudulent, or harmful behavior
Non-payment of fees (if applicable)
Extended inactivity
Any reason at our sole discretion

Effect of Termination:

All licenses granted to you terminate immediately
You must cease all use of the Service
We may delete your data in accordance with our retention policy
Sections of these Terms that by their nature should survive (indemnification, limitation of liability, governing law) remain in effect

No Refunds:

Upon termination, you are not entitled to refunds of any fees paid (if applicable), except as required by law.

12. Governing Law and Dispute Resolution

Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

Jurisdiction:

You agree that any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

Dispute Resolution:

Before filing any legal action, you agree to attempt to resolve disputes informally by contacting us at info@ecpermit.com. We will attempt to resolve disputes in good faith.

Class Action Waiver:

You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions or representative proceedings, to the extent permitted by Hong Kong law.

Statute of Limitations:

Any claim or cause of action arising from or related to these Terms or the Service must be filed within one (1) year after the claim arose, or be forever barred.

13. General Provisions

Entire Agreement:

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

Severability:

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

Waiver:

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

Assignment:

You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms without restriction.

Force Majeure:

We are not liable for failure to perform obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or network failures.

Language:

These Terms may be translated into other languages for convenience. In case of conflict between versions, the English version prevails.

Notices:

Notices to you may be sent via email to your registered email address or through in-app notifications. Notices to us should be sent to info@ecpermit.com.

14. Changes to These Terms

We may revise these Terms at any time by posting updated Terms within the Service or on our website. Material changes will be communicated via:

Email notification to your registered email address
In-app notification upon next login
Notice on the Service homepage

Effective Date:

Changes become effective 30 days after posting, or immediately if required by law or for security reasons.

Acceptance:

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and delete your account.

Review Regularly:

We encourage you to review these Terms periodically to stay informed of any updates.
